Terms of Service

1. Service Description

AmpTagger ("the Service"), operated by NovaFox LLC ("Company," "we," "us," or "our"), provides AI-powered social media post generation designed for news organizations. The Service analyzes article content and generates optimized posts for multiple social media platforms.

2. Account Terms

To use the Service, you must register using one of the following methods:

  • A valid email address and password
  • A third-party authentication provider such as Google Single Sign-On ("SSO")

If you register using Google SSO, you authorize us to access and store basic profile information from your Google account (such as your name, email address, and profile photo) solely for the purpose of authenticating your identity and provisioning your account. Your use of Google SSO is also subject to Google's Terms of Service and Privacy Policy.

Each account is associated with one organization. Organizations may have multiple user accounts with varying permission levels (e.g., administrator, editor). Organization administrators are responsible for managing user access within their organization.

You are responsible for:

  • Maintaining the security of your account credentials and any linked authentication methods
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized use of your account

3. Acceptable Use

You agree not to use the Service to:

  • Generate or distribute spam, misleading content, or misinformation
  • Impersonate any person or organization
  • Violate any applicable law, regulation, or third-party rights
  • Interfere with the operation of the Service
  • Attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms
  • Submit content to the Service that you do not have a lawful right to access or redistribute

All AI-generated content must be reviewed by a human editor before publishing. You are responsible for the accuracy of any content you publish using the Service.

4. AI-Generated Content Disclaimer

Posts generated by AmpTagger are AI-generated suggestions. You must review, edit, and approve all content before publishing. AmpTagger is not responsible for the accuracy, tone, or appropriateness of generated content. You retain full editorial responsibility for any content you publish.

The Service is a tool to assist your workflow, not a replacement for editorial judgment. AI-generated output may contain errors, biases, or inaccuracies. You acknowledge that AI technology is evolving and that outputs may vary in quality.

5. Intellectual Property

You retain all rights to content you create, submit, or publish using the Service.

By submitting content to AmpTagger, including article text submitted via URL, bookmarklet, or direct input, you represent that you have the right to submit such content and grant us a limited, non-exclusive license to process it solely to provide the Service. This license terminates when your account is closed, subject to the data retention period described in Section 9.

AmpTagger may use anonymized, aggregated usage data to improve the Service. This data will never include identifiable article content or your published posts.

All intellectual property rights in the Service itself, including its AI models, software, design, and documentation, remain the exclusive property of NovaFox LLC.

6. Organizational Data and Entity Database

Organizational Data.In order to provide the Service, we store data associated with your account, including but not limited to: organization profiles, user accounts, platform configurations, saved templates, generated post history, and usage preferences ("Organizational Data"). You retain ownership of your Organizational Data. We process and store Organizational Data solely to provide, maintain, and improve the Service. Our handling of Organizational Data is further described in our Privacy Policy.

Entity Database.The Service maintains a database of publicly available information about people, organizations, and other entities referenced in news coverage, including names, social media handles, and associated metadata ("Entity Data"). Entity Data is collected from publicly available sources and is owned and maintained by AmpTagger as part of the Service. Your subscription grants you and your organization access to view, use, and contribute to a subset of the Entity Database relevant to your coverage. Entity Data is not Organizational Data and is not owned by you or your organization.

Your use of the Service may contribute to the Entity Database through both automated discovery and direct input. By adding or uploading Entity Data, you confirm that such information is derived from publicly available sources. All contributions become part of the Service's Entity Database and are governed by the same terms.

7. Subscription and Billing

  • Payment is processed securely through Stripe. AmpTagger does not store your payment card information.
  • Subscriptions renew automatically at the end of each billing period unless canceled.
  • You may cancel your subscription at any time through your account settings.
  • No refunds are provided for partial billing periods. Your access continues through the end of the current paid period.
  • We reserve the right to change pricing with at least 30 days' notice before your next billing period. Continued use after a price change constitutes acceptance.

8. Service Availability

We will use commercially reasonable efforts to maintain the availability of the Service. However, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We will make reasonable efforts to provide advance notice of planned maintenance that may affect availability.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data, including information collected through third-party services such as Google Analytics and Google SSO.

10. Termination

Either party may terminate this agreement at any time.

  • You may close your account through account settings or by contacting us at support@amptagger.com.
  • We may suspend or terminate your account if you violate these terms, with notice where practicable.

Upon termination, your Organizational Data will be permanently deleted. Because Entity Data is part of the Service's database and is not Organizational Data, it is not deleted upon account closure. Your organization's access to the Entity Database is simply revoked.

11. Limitation of Liability

To the maximum extent permitted by law, NovaFox LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of revenue, reputation, or data.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

You agree to indemnify, defend, and hold harmless NovaFox LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these terms, or your publication of content generated using the Service.

13. Governing Law and Dispute Resolution

These terms are governed by the laws of the State of Washington, without regard to its conflict-of-law provisions.

Any dispute arising from or relating to these terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, either party may pursue resolution in the state or federal courts located in King County, Washington. Both parties consent to the exclusive jurisdiction of these courts.

14. Changes to Terms

We may update these terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.

If you do not agree to the revised terms, you may terminate your account before the changes take effect.

15. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These terms, together with the Privacy Policy, constitute the entire agreement between you and NovaFox LLC regarding the Service and supersede any prior agreements.
